Terms & Conditions

1. Services

The Provider offers web design and development, search engine optimization, Google Ads management, AI services, printing and ongoing maintenance, as specified in a written quote, statement of work, or order confirmation (the "Order").

The Order prevails over these Terms in case of conflict on commercial specifics such as price, scope and timeline.

2. Acceptance

A binding agreement is formed when the Client confirms the Order in writing (email is sufficient) and pays the first invoice.

3. Pricing and payment

One-off projects: 50% upon Order acceptance, 50% upon delivery. Both invoices are payable within 10 days, net.

Subscription services (SEO retainers, maintenance, Ads management): billed monthly in advance, payable within 10 days, net.

Prices are stated in SEK or EUR as set out in the Order, exclusive of VAT. Reverse charge applies for valid EU VAT-registered B2B clients outside Sweden.

Late payments accrue interest under Räntelagen (1975:635) (reference rate plus 8 percentage points), plus statutory collection fees.

Third-party costs (advertising spend, hosting, licenses, stock assets) are passed through and invoiced separately.

4. Delivery

Delivery of services is governed by the Delivery Policy published on synligwebb.se.

5. Cancellation and refunds

Cancellation rights and refunds are governed by the Refund & Cancellation Policy published on synligwebb.se.

6. Client obligations

The Client provides timely access to assets, accounts, content and approvals required for the work.

Delays caused by the Client extend deadlines accordingly and do not entitle the Client to refunds or compensation.

7. Intellectual property

Upon full payment of all related invoices, the Provider assigns to the Client the intellectual property rights in the final deliverables for the agreed use.

Pre-existing tools, frameworks and know-how remain the Provider's property and are licensed non-exclusively to the Client for the deliverable's intended use.

Until full payment is received, the Client receives no rights of use in the deliverables.

8. Confidentiality

Each party keeps the other's non-public business and technical information confidential for three (3) years after the engagement ends, and uses it only for the purposes of the engagement.

9. Data protection

Personal data is processed in accordance with the Privacy Policy published on synligwebb.se. A Data Processing Agreement is provided on request where the Provider acts as processor on the Client's behalf.

10. Warranty

Services are provided with reasonable professional skill and care.

The Provider does not guarantee specific search rankings, advertising performance, lead volume, conversion rates or other commercial outcomes.

11. Liability

The Provider's aggregate liability per engagement is capped at the fees paid by the Client to the Provider in the six (6) months preceding the event giving rise to the claim.

Indirect, consequential and lost-profit damages are excluded.

Nothing in these Terms limits liability for gross negligence or wilful misconduct.

12. Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including platform outages, network failures, strikes, acts of authority, war and natural disasters.

13. Governing law and venue

These Terms are governed by Swedish law.

Any dispute is settled by Stockholm District Court (Stockholms tingsrätt) as court of first instance.

14. Changes

The Provider may update these Terms. The version in force is the one published on synligwebb.se on the date the Order is accepted.
